In short
A non-binding summary, quoted from the sections below. The full text governs.
Logis is a business product. It is sold to companies and other organisations in the freight and logistics chain: forwarders and logistics companies, carriers, cargo owners and their customers. It is not offered to consumers. By accepting these Terms you confirm that you use Logis for business purposes only.
What "Logis" and "the Service" mean. Together, these are everything we operate under the Logis name:
/c/…), network order links (/network/order/…), invitation links (/invite/…, /network/invite/…) and recommendation links (/r/…);Registration. To use the Service you need a workspace and a personal account. You must give accurate, current information (company name, company code, address, contact details) and keep it up to date.
Your accounts and your people. You decide who gets access, with which role (owner, admin, manager, dispatcher, accountant, driver and others the Service offers) and which module permissions. You are responsible for:
One person, several workspaces. A person may belong to more than one workspace. Each membership is separate; what a person does in one workspace belongs to that workspace.
Security notices. Tell us promptly at logis@uselogis.com if you suspect unauthorised access to your workspace. We send security emails (password changed, new device sign-in, access changes) which cannot be switched off.
The Service as it is today. We provide the Service on the basis of the features available at the time. Parts of the Service are marked "Coming soon", "Sandbox" or "Beta". Those parts are previews: they may be incomplete, may change or be withdrawn, and are provided without any commitment about their availability or results.
Changes. We continuously improve the Service. We may add, change or remove features. If we make a change that materially reduces a paid function you are paying for, we will give you at least 30 days' notice and, if the change is not acceptable to you, you may terminate the paid plan under section 14.
Availability. We aim to keep the Service available and to maintain it with reasonable care, but we do not promise uninterrupted or error-free operation. The Service may be unavailable during maintenance, deployments, outages of our providers or events outside our control. Unless a written agreement states a service level, no service level applies.
Offline use and sync. The driver app keeps a copy of the driver's work on the phone and synchronises it when the phone has a connection. Data entered offline is not visible to the office until it has synchronised. You and your drivers are responsible for keeping the app up to date and for synchronising before relying on information in the office.
Plans. Logis is offered in the following ways. The exact scope and limits of each are described in the Service and may be updated as set out in section 4.7.
You will not, and will not allow anyone to:
Workspace-level responsibility. You are responsible for your Users' compliance with this section. We may suspend access under section 14 for a breach.
Ownership. You keep all rights in the data and content you put into the Service: your orders, cargo, trips, routes, partner and contact records, documents, photos, invoices, messages and everything else (Customer Content). We acquire no ownership of it.
Licence to us. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process and display Customer Content, and to create the derived data the Service needs, only as necessary to provide, secure, support and improve the Service for you, and to do what you or your Users instruct through it (for example, send a document to a partner you chose).
Your warranties. You confirm that you have the right to put the Customer Content into the Service and to let us process it, that it does not infringe third-party rights, and that you have given the notices and obtained the consents required by law, including to the people whose data you enter (your staff, drivers, contacts, and the people named on your documents).
What never changes: your content is not our data to sell. We do not sell Customer Content, do not use it for advertising, and do not use it to train models offered to others.
This section applies to everything you do across a company boundary: connections, invitations, handing a job to another company, receiving one, partner threads, directory listing and alliances.
What the Network is. The Logis Network is a feature that lets two workspaces connect and work on the same job: one company hands a trip or an order to another, the other accepts or declines, and execution status and documents are shared as each side has agreed. Logis provides software; it is not a party to anything the companies agree between themselves and is not a carrier, freight forwarder, broker, agent or insurer.
Your relationships are your own. Every transport order, price, handover, acceptance, amendment and cancellation between companies is a legal act between those companies. You are responsible for the terms on which you work with each other, including price, liability, insurance, CMR, customs and payment. Logis does not verify companies' licences, insurance or creditworthiness, and a listing in the directory or a connection is not an endorsement.
What each side sees. Each company decides, per partner, what it shares (for example status events, messages, quantities, documents, journey places and who is carrying a job), within the settings the Service offers. Settings are applied as described in the Service, and sharing may be narrowed at any time; narrowing or disconnecting stops future sharing but does not take back what the other company has already received or what has already been agreed. A record accepted by the other side becomes theirs and is not removed from their workspace when the relationship ends.
You remain the business. You use the Service to manage orders, cargo, trips, routes and documents. The accuracy and legality of what you enter, the carriage itself, and your compliance with transport, customs, tax, labour (including driving and rest times), dangerous goods, data and any other law remain your responsibility. The Service does not provide legal, tax, customs or accounting advice, and automatically generated information does not replace professional judgement.
Documents. The Service can store, generate and send documents (for example CMR and delivery proofs, tags, invoices, thread exports). A document you issue is your document. Check each before relying on it. Cargo tags and QR codes are labels generated from the current record; a tag is an identifier only and does not give anyone rights to the cargo or the data.
Invoices. The invoicing function helps you prepare, number, issue and send invoices. When an invoice is issued, the numbering, the letterhead, the figures and the lines are fixed in the issued document, and the PDF is generated once and stored. An issued invoice cannot be deleted or regenerated; corrections follow your accounting rules (for example by credit note). You are the issuer and are responsible for the content, currency, VAT treatment, legal wording, retention and filing of every invoice, and for your own books. The Service does not file taxes, e-invoices to tax authorities or accounting records on your behalf unless it says so expressly.
Licence. We give each driver who is a User of your workspace a personal, non-transferable, revocable right to install and use the driver app on their device, as long as your workspace is active and they are permitted by you.
Your drivers. You are responsible for your drivers' use of the app, for telling them what the app collects (see the Privacy Policy), for their working-time and employment obligations, and for any permissions you require from them. If a driver is your employee, you are the one who decides what they must report in the app.
Permissions. The app asks for a position reading when a driver reports arrival at a stop, camera and photo access for pictures of cargo and documents, notifications, and biometrics for unlock. Each is optional at the operating-system level, but some functions need them. The app takes a single foreground position at arrival and does not track continuously. Details are in the Privacy Policy.
App stores. The app is distributed through Apple's App Store and Google Play. Their terms apply to your download and use. Apple and Google are not responsible for the app, its support or its content.
The Service contains suggestions and assistance (for example ranking trips for a leg of a cargo, suggesting matches, flagging inconsistencies). They are advisory. They are produced automatically from the information in the Service, may be wrong, incomplete or out of date, and do not take decisions on your behalf.
You remain responsible for every decision and every act you take after seeing a suggestion. Do not rely on a suggestion as the only basis for a decision with legal, safety or significant financial effect.
If we add a feature that sends your content to an external AI service provider, we will update the Privacy Policy and these Terms before it takes effect, and we will not use your content to train models that others use.
The Sandbox is a disposable copy of a workspace: either a set of seeded demonstration worlds with invented companies and people, or a copy of your own data, anonymised. It lets you try the Service, show it to others and train people.
Do not use it for real operations. Everything in it may be reset, rewound or discarded at any time. It is not backed up for your needs and not for production use. Companies, addresses and people in seeded worlds are invented; any resemblance to a real person or company is coincidental.
Marking. Documents and emails from a Sandbox are marked SANDBOX and must not be passed off as real. Emails produced in a Sandbox are not sent to real recipients but are redirected to the people inside the Sandbox or refused.
Shared links. If you hand somebody a link to what you are looking at in a Sandbox, you are responsible for who receives it.
Copies of your data. A Sandbox made from your own data is anonymised as far as the Service does so, but it is still derived from your content and is subject to the same obligations. Do not give access to people who should not see the underlying information.
Roles. For the personal data that you and your Users put into your workspace (about your staff, drivers, contacts, customers, suppliers and partners, and the people named on your records), you are the controller and Logis is your processor. For personal data we handle for our own purposes (running accounts, security, billing, support, and the website) we are a controller. The Privacy Policy explains this in more detail.
Data Processing Terms. To the extent that Logis processes personal data on your behalf under Regulation (EU) 2016/679 (GDPR), the following apply as the data processing agreement between us:
a) Instructions.
We process the personal data only to provide the Service to you and on your documented instructions (these Terms, your settings and your use of the Service), unless law requires otherwise, in which case we tell you first where permitted. If we think an instruction breaks data-protection law, we tell you.
b) Subject and duration.
The subject is the provision of the Service. The duration is the term of the agreement plus the period in section 14.6. The data are those in your Customer Content, relating to your Users, drivers, contacts and the people in your records. Their categories are identity and contact details, work and route records, photographs, documents and, for drivers, the arrival position and device information described in the Privacy Policy.
Our rights. Logis, the Logis name and marks, the software, the design, the documentation and the Service are owned by us or our licensors. These Terms give you only the right to use the Service as they describe. We reserve all other rights. Our marks must not be used without our written permission.
Your licence to use. During the term, we give you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service for your own internal business operations, in accordance with these Terms.
Third-party and open-source components. The Service includes third-party and open-source components under their own licences, which apply to those components.
Confidentiality. Each side must keep the other's non-public information that it receives in connection with the Service confidential, use it only for the agreement, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (in which case, tell the other side where lawful). Your Customer Content is your confidential information. Security details of the Service are ours.
Term. These Terms start when you accept them and continue as long as you have a workspace. A paid plan runs for the period in the order form or price list and renews for equal periods unless either side gives notice before renewal under 14.2.
Termination by you. You may stop using the Service and close your workspace at any time. A paid plan may be ended with at least 30 days' written notice before the end of the current period, taking effect at the end of it. Fees already paid for a period are not refunded unless these Terms or the law say so.
Termination by us. We may end the agreement or a plan with 60 days' written notice. We may end it immediately by written notice if you materially breach these Terms and do not fix it within 10 days of our notice (or at once if it cannot be fixed), if you do not pay under 4.3, if your use endangers the security or operation of the Service or other customers, if we must do so by law, or if you become insolvent or are subject to a sanction that stops us dealing with you.
Suspension. If we reasonably believe there is a breach of section 5, a security risk or unlawful use, we may suspend the affected access, as narrowly and for as short a time as is reasonable, and we will tell you why unless the law prevents it. Suspension of a free workspace does not oblige us to keep it available.
Our promise. We provide the Service with reasonable skill and care, and in line with these Terms and the law.
Otherwise "as is". To the maximum extent the law allows, the Service is provided "as is" and "as available". We do not warrant that it is uninterrupted, error-free, secure against all attacks, or that its estimates, suggestions, routes, times, exchanges rates or calculations are accurate or fit for a particular purpose, or that results can be achieved. We exclude all warranties not stated in these Terms.
Professional matters. We are not your lawyer, accountant, tax adviser, customs broker, forwarder or insurer. Nothing in the Service is advice of that kind.
Beta and preview features are provided without any warranty.
What no clause here limits. Nothing in these Terms limits or excludes liability that cannot be limited under Lithuanian law or applicable mandatory law, including liability for intentional breach or gross negligence, for death or personal injury, or for fraud.
No indirect loss. Subject to 16.1 and to the extent the law allows, neither side is liable to the other for indirect or consequential loss, lost profits, lost business, loss of goodwill, loss of contracts with third parties, penalties imposed by third parties or loss of data that you could have avoided by keeping your own copy.
Cap. Subject to 16.1, our total liability to you arising out of or in connection with the Service and these Terms in any twelve-month period is limited to the fees you paid us for the Service in the twelve months before the event that gave rise to the claim. For a free workspace, it is limited to EUR 100.
Carriage and the chain. Logis is not a party to any contract of carriage, forwarding, storage or sale between you and anyone else, and is not liable for loss of, damage to or delay of goods, for how a carrier, shipper, consignee or driver acts, for the accuracy of what another company enters, for the consequences of a handover, acceptance, recall or cancellation between companies, or for a fine, claim or penalty arising from the carriage itself. Those matters are between the companies involved, and between them and their insurers.
You will defend and compensate us against third-party claims, and the resulting losses, damages and reasonable costs, that arise from: (a) Customer Content or its use in breach of these Terms or third-party rights; (b) your breach of section 5 or of law; (c) the way you or your Users carry, forward, store or deal with goods, or your relationships with other companies in the Network; or (d) your failure to give required notices to, or to get required permissions from, individuals whose data you enter.
We will tell you promptly of a claim, let you control the defence (we may take part at our own cost), and give reasonable help at your cost. You may not settle a claim in a way that admits fault by us without our consent.
We will defend you against a third-party claim that the Service, as supplied by us and used in line with these Terms, infringes that third party's intellectual-property rights in the EU, and pay the damages finally awarded or agreed by us. We may modify the Service, obtain a licence, or end the affected part and refund prepaid fees for it. This is your only remedy for such a claim.
Neither side is liable for failure or delay in performing (other than paying money) caused by events outside its reasonable control, including natural disasters, war, terrorism, strikes, power, internet or telecom failures, failures of hosting or other infrastructure providers, government action, or cyber-attacks that could not have been avoided with reasonable security. The affected side must tell the other and try to limit the effect. If the event lasts more than 60 days, either side may end the agreement for the affected service.
We may update these Terms, for example for new features, legal or security reasons, or changes to our providers. We will post the new version at www.uselogis.com/terms (or the address then shown) and tell you by email to your workspace's owners, or in the Service, at least 30 days before a change that is not in your favour takes effect. A change required by law or by an urgent security need may take effect sooner.
If you do not accept a change, you may end the agreement before it takes effect under 14.2 (and a paid customer will be refunded prepaid fees for the period after termination if the change is materially adverse). Continuing to use the Service after the effective date is acceptance.
A change in the content of the Service is covered by section 3.2 and plan changes by section 4.
Entire agreement. These Terms (with the Privacy Policy, order forms and price lists) are the whole agreement about the Service and replace earlier understandings about it. Your own purchasing or general terms do not apply.
Order of precedence. A signed written agreement, then the order form, then the Data Processing Terms (for personal data), then these Terms, then the Privacy Policy.
Notices. We give notices by email to the addresses of your workspace owners and administrators, or in the Service. You give notices to logis@uselogis.com or to our registered address. A notice by email takes effect when sent unless the sender gets a failure message.
Assignment. You may not assign or transfer your rights or obligations without our written consent. We may assign these Terms to an affiliate or to a successor to our business, with notice to you.
Subcontractors. We may use subcontractors and remain responsible for them as these Terms say.
Law. These Terms and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes) are governed by the laws of the Republic of Lithuania, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.
Talks first. The parties will first try to settle a dispute by good-faith talks for 30 days after a written notice describing it.
Courts. If not settled, the dispute is brought to the competent courts of the Republic of Lithuania in Vilnius, to whose jurisdiction the parties submit, except that Logis may also bring a claim for unpaid fees, or for protection of its intellectual property or the security of the Service, in any competent court.
Mandatory law. If you are located in a country whose law gives you rights that cannot be removed by contract, they are not affected by 21.1 or 21.3.
UAB "Logis tech"
Who you are. In these Terms you and the Customer mean the organisation that creates or is given a workspace, and any person acting for it. A User is anyone who signs in under your workspace, including office staff, managers, accountants and drivers. A Workspace is the separate area of the Service that belongs to one organisation.
Who may accept. The person who creates a workspace, accepts an invitation, or starts a trial confirms that they are authorised to bind the organisation they act for, and that they are at least 18 years old. If they are not, they must not accept these Terms.
How you accept. You accept these Terms by ticking the acceptance box, by creating or using a workspace, by accepting an invitation to a workspace or to the Logis Network, or by signing a written order form that refers to them, whichever comes first. If you and Logis sign a separate written agreement, it prevails over these Terms where the two differ, and these Terms apply to everything the agreement does not cover.
Related documents. These apply together with the Privacy Policy (www.uselogis.com/privacy), the Data Processing Terms in section 12, and any order form or price list you agree with us. They form one agreement.
Owners and administrators. Owners and admins can change roles, invite and remove people, and change workspace settings. If your workspace has several administrators, we may act on the instructions of any of them. We do not resolve disputes between your own people about who controls the workspace; we may restrict access to the workspace until you give us proof of authority.
Third-party components. The Service relies on providers for hosting, database, maps, messaging, email, SMS and push notifications (listed in the Privacy Policy). They are subject to their own terms and outages. We choose them with care, but we are not responsible for their failures beyond what section 16 allows.
Support. Support is given by email. We aim to answer promptly during Lithuanian business days. Support is not a guarantee of resolution within any particular time.
Fees and invoicing. Paid plans are charged as agreed in the order form or price list. Unless stated otherwise, fees are in euro, exclude VAT and other taxes, which you pay in addition, and are invoiced in advance monthly or for the agreed term. Payment is due within 14 days of the invoice date. Today, paying is arranged with us directly; if online payment is added, the price list or the checkout page states the terms.
Late payment. If an undisputed invoice is more than 14 days overdue, we may charge statutory late-payment interest, and we may restrict the paid functions after 7 days' written notice. We will not delete your data for non-payment before the end of the period in section 14.6.
Price changes. We may change prices for future periods. A change in prices takes effect at the next renewal after at least 30 days' written notice. List prices are not changed during a fixed term you have already agreed.
Limits, and what they do not do. If you exceed a limit that applies to your plan, we will tell you and ask you to choose a larger plan or a different configuration for new work. We do not stop work already in progress, and we do not block work you received from a company that invited you.
Downgrade and expiry. If your paid plan ends or you move to a lower level, you keep your records and connections. What the lower level does not include becomes read-only or closed to new use. A workspace with more connections than a free level allows is not deleted down to the limit; it keeps what it has and may be offered the option to split or merge workspaces.
Changes to plan content. We may reorganise plans and limits for new customers at any time. For existing paid customers, changes apply from the next renewal after notice under 4.4, and what is free stays free: we will not make a function that is included in a free workspace chargeable without at least 60 days' notice.
Taxes and withholding. Fees are exclusive of taxes. If you are required by law to withhold tax, you will gross up the payment so that we receive the full amount we invoiced.
Reports. If you believe content or conduct on the Service breaches these Terms or the law, write to logis@uselogis.com.
Export. You can export your records from the Service using the export functions it offers. You are responsible for keeping any copy you need for your own legal retention obligations (for example, accounting records), which are yours and not ours.
Feedback. If you send us suggestions or feedback, we may use them without obligation to you.
"Tell us" screenshots and recordings. The "Tell us" feature can capture the Logis window and record it, with diagnostic information. A capture can show whatever is on your screen, including other people's data. Check what is on your screen before you send one. By sending it you authorise us to use it to investigate, answer and improve the Service. Reports belong to the person who wrote them, not to a workspace.
Money. The agreed price of a handover is visible only to the two companies that are parties to it. Prices are never shown to other companies in a chain. A change to an agreed price takes effect only when the other side accepts it.
Chains. In a chain of handovers, each company sees its own direct counterparts, and only through an introduction that both sides accept does a more distant company become a counterpart. The company that actually executes the work is the only one that can report on it.
Acceptance, return and recall. The company that receives a job can accept, decline, or hand it back (return) as the Service allows. The company that sent it can recall it as the Service allows, for example until the first cargo is loaded. Acts that the Service lets a company perform are binding on it as soon as made. We do not arbitrate disputes between companies.
Invitations and links. An invitation or order link may be sent to a person by email. These links give access to a specific invitation or order. Do not forward them. Anyone holding such a link can use it. A link re-issued by us replaces the previous one. By sending an invitation you confirm you may send it to that address and that the recipient expects it. We send the email on your behalf, in your workspace's language, and the recipient is not required to hold an account to read it.
Findability and directory. Whether other companies can find you is off by default. If you list your company or make it recognisable, the information you choose is visible as the Service describes. A company can mute you. Requests to connect are limited in number to prevent abuse.
Alliances. An alliance is a group of companies with shared rules (a charter). Posts to an alliance carry no price. Each member is bound by the charter version it accepted. Logis does not govern an alliance, and members are responsible for their own conduct.
Recommendations. If you recommend Logis to someone, you confirm that you may contact them, that the details are correct, and that your message is truthful. We send the recommendation on your behalf in your language; the recipient can ignore it.
Numbers, dates and formats. The Service shows dates, numbers and times in the formats and time zones configured for your workspace. Check them before you rely on them.
Routes, distances and times. Route lines, distances, drive times, arrival estimates, locations and maps are provided by or derived from third-party map and routing data and by your own entries. They are estimates. Do not rely on them for safety-critical decisions, driving-time compliance or legal evidence.
Telematics and integrations. If you connect a telematics or other integration (for example fleet tracking), you authorise us to pull and show the connected data, you confirm you have the right to do so, and you remain responsible for the third-party account and its terms.
Notifications and messages. The Service sends notifications by Inbox, email, SMS and push, according to the workspace's and each person's settings. A notification may be delayed or not delivered for reasons beyond our control (for example a switched-off phone, a mailbox rule, an operator outage). You should not rely on a notification as the only way to learn of something time-critical.
Messages to non-users. Where you use the Service to send an email to someone who has no account (for example a consignee at a gate or a buyer), you confirm you are entitled to contact them. A consignee notice states the new time and a contact; it does not tell them why.
Device and updates. You and your drivers are responsible for the device, its battery, operating system and connection. We may release updates, some of which are needed to continue using the Service.
c) Confidentiality.
People authorised to process the data are bound by confidentiality.
d) Security.
We apply technical and organisational measures appropriate to the risk, including encryption in transit and at rest, access controls by workspace separation enforced in the database, private file storage with access checks, access limited to those who need it, and logging.
e) Sub-processors.
You give us a general authorisation to use sub-processors. The current ones are listed in the Privacy Policy (hosting, database, maps, messaging, email, SMS, push and feedback providers). We bind each to data-protection obligations that are no less protective, and we remain responsible for them. We give at least 14 days' notice of a new or replaced sub-processor by updating the Privacy Policy or by email; you may object on reasonable data-protection grounds within that time, and if we cannot resolve it, you may terminate the affected service.
f) International transfers.
Where personal data is transferred outside the European Economic Area, we ensure an appropriate safeguard under GDPR Chapter V (for example an adequacy decision or the standard contractual clauses).
g) Assistance.
Taking into account the nature of the processing, we help you respond to data-subject requests, and, with the information we hold, to meet your obligations on security, breach notification, impact assessments and consultation with authorities. The Service gives your administrators tools for access, correction, export and deletion.
h) Breach.
We notify you without undue delay after becoming aware of a personal-data breach affecting your data.
i) Deletion and return.
When the agreement ends, we delete or return your personal data as set out in section 14.6, unless law requires us to keep it.
j) Audits.
We make available the information needed to show compliance and allow audits by you or an auditor you appoint, on reasonable notice, not more than once a year unless a regulator or a breach requires more, during business hours and subject to confidentiality, at your cost.
Your obligations as controller. You are responsible for having a legal basis and giving the required notices for the data you enter, for telling your drivers and staff what the Service collects about them, and for the accuracy of the data. Where a person relies on a right against you, you should handle it; we help as in 12.2(g).
Requests that reach us. If a person contacts us about data that is in your workspace, we refer them to you, unless the law requires otherwise.
Privacy contact and authority. Questions and requests: logis@uselogis.com. A complaint can go to the State Data Protection Inspectorate of Lithuania (vdai.lrv.lt) or another supervisory authority.
Cookies. The Service uses cookies and similar storage that are needed for sign-in, language and security. We do not use advertising or analytics cookies. Details are in the Privacy Policy.
Free workspaces. We may end a free workspace or a free level on 60 days' notice, and may close one that has been unused for a long period after notice to the email address on file.
After termination. For 30 days after the end of the agreement you can request an export of your Customer Content, and your administrators can export from the Service while access lasts. After that period we delete or anonymise Customer Content in the live workspace, and it disappears from backups within a reasonable period. Records you have already shared with, or handed to, another company stay in that company's workspace, because they belong to that company's records (see 7.3). Issued documents that carry another company's name stay with them. We may keep information that the law requires us to keep, for the period it requires (for example our own invoicing and security records). Archiving a record in the Service hides it and is reversible. It is not deletion.
Workspace changes. A workspace may be merged with another, or split into several, using the Service's tools. A merge or split is a decision of the workspace owner or administrator, who confirms they are entitled to take it. Record numbers may be renumbered, the source workspace may be archived, and a merge is refused while a posted ledger is involved.
What survives. Sections that by their nature should continue (including 6, 7.3, 12, 13, 14.6, 16, 17, 18 and 19) survive termination.
Your own inputs. We are not liable for loss caused by information you or your Users entered or failed to enter, by your configuration (including roles, sharing settings and notification settings), by failure to keep credentials secure, or by use contrary to these Terms.
Claims period. Any claim must be brought within one year of the time you knew or should have known of the event, unless the law provides a longer period that cannot be shortened.
Each of these limits is separate and applies even if a remedy fails of its essential purpose, to the maximum extent the law allows.
Severability and waiver. If a provision is found invalid or unenforceable, the rest continues and the provision is replaced by a valid one with the closest effect. Not enforcing a right is not a waiver of it.
No partnership. The parties are independent. Nothing creates a partnership, agency, employment or joint venture. No third party has rights under these Terms, except that Users act through, and are bound as part of, the Customer.
Export and sanctions. You will not use the Service in breach of applicable sanctions or export laws, or allow access from, or for the benefit of, a sanctioned person or country.
Publicity. We will not use your name or logo as a reference without your permission.
Language. These Terms are written in English, and the Service is available in several languages. A translation is for convenience. If a translation differs, the English version prevails.
Electronic form. You agree that these Terms, notices, orders and acceptance may be made, signed and kept electronically, and that an electronic record is evidence of them.
